Epump Terms and Conditions of Service

Welcome to Epump! These Terms and Conditions of Service ("Terms") govern your access to and use of the Epump cloud-based forecourt automation solution, website, and Project Tracker (collectively, the "Services") provided by Fuelmetrics Ltd., the owner and trademark holder of Epump ("Fuelmetrics," "we," "us," or "our").

By accessing or using the Services, you agree to be bound by these Terms and our Privacy and Data Protection Policy. If you do not agree to these Terms, you may not access or use the Services.

1. Acceptance of Terms

By creating an account, accessing, or using any part of the Epump Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and in such case, "you" or "your" will refer to your organization.

Epump is a comprehensive cloud-based forecourt automation solution designed for the Downstream Oil and Gas Sector, serving Corporate Organizations and Independent Owners. It provides fuel station owners and management with an overall view of their station's operations, empowering them with data-driven insights.

Key features of the Services include:

• Remote Monitoring: Real-time oversight and monitoring of station activities.
• Price Change Management: Tools for efficient management and implementation of fuel pricing changes.
• Accurate Reports: Generation of precise operational, financial, and compliance reports.
• Prompt Notifications: Timely alerts and notifications regarding critical operational events, inventory levels, and financial summaries.
• Loyalty and Rewards Management: Functionality to create, manage, and track customer loyalty programs and reward schemes.
• Strategic Proposition: Facilitation of efficient and effective planning, budgeting, and expense management through integration with strategic expense points such as fuel pumps, diesel delivery, and transportation.

If you subscribe to paid features of the Services, you agree to pay all applicable fees and charges as described on our website or in your service agreement. All fees are non-refundable unless otherwise expressly stated. Fuelmetrics reserves the right to change its pricing at any time upon reasonable notice.

9. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall Fuelmetrics Ltd., its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

You agree to defend, indemnify and hold harmless Fuelmetrics Ltd. and its licensees and licensors and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Services, by you or any person using your account and password; b) a breach of these Terms; or c) your violation of any rights of another.

11. Termination

Fuelmetrics may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or contact us.

12. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in Lagos, Nigeria, in accordance with the Arbitration and Mediation Act, 2023 or any statutory re-enactment or modification thereof for the time being in force. The language of the arbitration shall be English.

13. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

15. Entire Agreement

These Terms, together with the Privacy and Data Protection Policy and any other legal notices published by Fuelmetrics on the Services, constitute the entire agreement between you and Fuelmetrics regarding the Services.
